Checkout+ Supplementary Terms
These Supplementary Terms are an English translation prepared for reference. In the event of any discrepancy between the Japanese original and this translation, the Japanese original shall prevail.
Article 1 (Application)
1. These Supplementary Terms set out the conditions for use of the “Checkout+” feature (the “Feature”) available on Recustomer and provided by Recustomer Inc. (the “Company”). A Merchant (as defined in the Recustomer Terms of Service (the “Main Terms”)) who has applied to use the Feature is deemed to have agreed to these Supplementary Terms.
2. These Supplementary Terms form an integral part of the Main Terms. Matters not provided for in these Supplementary Terms shall be governed by the Main Terms. In the event of any inconsistency between these Supplementary Terms and the Main Terms, these Supplementary Terms shall prevail.
3. The period of use of the Feature shall run from the date on which the Merchant commences use of the Feature until the date on which the Merchant discontinues use of the Feature in accordance with the procedures prescribed by the Company.
Article 2 (Definitions)
1. “Consumer Option” means an option that a Merchant sells or provides to consumers using the Feature on an e-commerce site operated or managed by the Merchant, consisting of a special agreement concerning returns of products purchased on that e-commerce site, or other conditions or services incidental to the purchase of products.
2. “Option Fee” means the money that a Merchant receives from a consumer as consideration for a Consumer Option.
3. “Feature Usage Fee” means the money that a Merchant pays to the Company as consideration for use of the Feature.
Article 3 (Nature of the Feature)
1. The Feature is provided by the Company to the Merchant.
2. The seller of the Consumer Option is the Merchant. A Consumer Option is sold by the Merchant in its own name, and consists of modifying the return conditions under the contract of sale of products that the Merchant sells. All explanations to consumers, performance and other responsibilities relating to the Consumer Option belong to the Merchant, and the Company has no contractual relationship of any kind with consumers.
3. The Company does not act as an agent for payment of money between a Merchant and a consumer, and bears no responsibility for any disadvantage or damage arising out of or in connection with transactions concluded between a Merchant and a consumer.
Article 4 (Content of the Feature)
1. The Feature consists of the following functions and services:
(1) System functions for displaying and selling Consumer Options on the cart and checkout screens of the Merchant’s e-commerce site;
(2) Provision of a return and exchange portal for consumers who have purchased a Consumer Option;
(3) Issuance of shipping labels for return shipments (the “Return Labels”) and arrangement of return shipments (including arrangement of pickup);
(4) Payment to the carrier of the shipping charges for the return shipments referred to in the preceding item (on the conditions set out in Article 7);
(5) Provision of shipment tracking information and notifications to consumers (push notifications, e-mail, etc.);
(6) Analytics of returns, exchanges and purchase data for orders to which a Consumer Option has been applied, and provision of information for improving return rates and sales;
(7) Other functions that the Company separately announces as forming part of the Feature.
2. The Company may add to or modify the functions set out in the preceding paragraph in order to improve the quality of the Feature. Use of any function that the Company expressly identifies as outside the scope of the Feature (including, but not limited to, the buy-back of returned products) requires a separate agreement with the Company and payment of consideration for the use of that function.
Article 5 (Sale of Consumer Options and Benefits)
1. The Merchant sells Consumer Options to consumers and receives Option Fees from consumers in its own name and at its own responsibility. The amount of the Option Fee and whether a Consumer Option is displayed are determined in accordance with Article 6.
2. The Merchant may grant coupons, store credit or other benefits to consumers who have purchased a Consumer Option, at its own discretion and funded by itself. Such benefits are granted by the Merchant in its own name and at its own responsibility; the Company does not fund them and bears no responsibility for their grant. The Company merely provides the system functions for granting such benefits.
3. The Merchant may also provide Consumer Options to consumers free of charge (including by setting the Option Fee at zero). Even where the Merchant provides Consumer Options free of charge, the Merchant is not released from its obligation to pay the Feature Usage Fee to the Company under Article 8.
Article 6 (Determination of Option Fees)
1. The Merchant shall determine the retail price of Consumer Options offered to consumers and whether they are displayed (including the delimitation of the scope of eligible products) on the basis of the algorithm provided by the Company (including improved versions thereof) and approved by the Merchant. The Merchant is deemed to have approved the algorithm provided by the Company at the time it agrees to these Supplementary Terms.
2. The calculation referred to in the preceding paragraph is performed on the basis of attributes at the product and order (cart) level, such as the type, size and quantity of products and the delivery region.
3. The Merchant may request the Company in writing (including by electromagnetic means) to set an upper or lower limit on Option Fees, to exclude particular products, or to suspend all or part of the calculation under the preceding two paragraphs, and the Company shall reflect such request within five business days.
4. Consumer Options are provided by the Merchant in its own name as conditions of sale of the products it sells, and the Company merely performs the calculation of Option Fees and provides the services relating to the Feature.
Article 7 (Arrangement of Return Shipments and Payment of Shipping Charges)
1. For returns by consumers who have purchased a Consumer Option that satisfy all of the following items, the Company shall arrange the return shipment and shall itself pay the shipping charges for that return shipment (limited to the actual shipping charges of the carrier arranged by the Company) to the carrier. The Company shall not invoice such shipping charges to the Merchant or to the consumer.
(1) The return is an eligible return under the return policy established by the Merchant;
(2) The return uses a Return Label issued by the Company.
2. The preceding paragraph applies only where the resolution selected in response to the return request is an exchange, the grant of store credit, or a refund of the product price. However, refunds of the product price, dispatch of exchange products and grants of store credit are all carried out at the responsibility and discretion of the Merchant; the Company is not involved in them and does not pay money to consumers.
3. Paragraph 1 does not apply in any of the following cases:
(1) Handling arising from loss, damage or theft of products during transit;
(2) Handling arising from theft after delivery, natural disasters or other fortuitous events;
(3) Products designated by the Merchant as non-returnable, or returns made after the return acceptance period has elapsed;
(4) The second and any subsequent return shipment for a single order placed by a consumer, regardless of the number of products ordered (except where otherwise agreed in an individual agreement);
(5) Return shipments found to involve false applications or other manifest abuse.
4. Payment of shipping charges under this Article constitutes expenditure of costs required for the Company to perform the services under Article 4 itself, and is not a payment of money to the Merchant or to consumers.
5. Even after the agreement for use of the Feature terminates, this Article continues to apply, until the expiry of the return acceptance period for the relevant order, to returns by consumers who purchased a Consumer Option on or before the date of termination.
Article 8 (Feature Usage Fee)
1. The Merchant shall pay the Company the Feature Usage Fee as consideration for the functions and services set out in Article 4 and the calculation set out in Article 6. The amount of the Feature Usage Fee shall be determined in an individual agreement as an amount per Consumer Option.
2. Invoicing and payment of the Feature Usage Fee shall be made through the payment method designated by the Company (such as Shopify Billing).
Article 9 (Status of Transportation)
1. The Company arranges (brokers) return shipments with carriers and does not itself undertake transportation.
2. Transportation for return shipments is carried out in accordance with the transportation terms of the carrier arranged by the Company, and responsibility for loss of or damage to goods in transit rests with that carrier. The Company bears no liability as a carrier.
Article 10 (Display and Implementation)
1. The Merchant shall clearly indicate the following to consumers on the cart or checkout screen:
(1) That purchase of the Consumer Option is optional and is not a condition of purchasing products;
(2) The amount of the Option Fee (tax included); or, where it is provided free of charge, that fact;
(3) A link to the terms of use of the Consumer Option;
(4) Any other matters that must be displayed to consumers under applicable laws and regulations.
2. The Company implements the Feature on an opt-in basis, such that Consumer Options are not pre-selected by default. The Merchant shall not alter that implementation, nor independently implement any arrangement in which Consumer Options are selected by default (pre-checked or automatically added).
3. The Merchant shall make appropriate statements required by applicable laws and regulations on its “Notation based on the Act on Specified Commercial Transactions” page, its return policy and its privacy policy.
Article 11 (Merchant’s Compliance Obligations)
1. The Merchant shall, at its own responsibility, verify and ensure that its sale of Consumer Options and its operation of the Feature comply with the Act on Specified Commercial Transactions, the Act against Unjustifiable Premiums and Misleading Representations, the Consumer Contract Act and other applicable laws and regulations.
2. The Merchant shall not engage in any of the following acts:
(1) Where Option Fees are received from consumers, promoting the offer solely as “free return shipping” without clearly indicating that an Option Fee applies;
(2) Any other display that causes consumers to mistakenly believe that terms are more advantageous than they are, or that unduly distorts consumers’ decision-making.
Article 12 (Handling of Personal Information)
1. The Merchant provides the Company with consumers’ personal information (name, address, contact details, order information, etc.) to the extent necessary for provision of the Feature.
2. The Merchant is responsible for addressing such provision lawfully in its own privacy policy and for completing any necessary procedures.
Article 13 (Disclaimer)
The Company bears no liability for damage incurred by a Merchant or a consumer as a result of the following causes, except where the Company has acted with intent or gross negligence:
(1) Causes relating to the Merchant’s determination of whether a return is permitted, or to its performance of refunds or exchanges;
(2) Delay or failure of transportation, loss of or damage to goods, or other causes attributable to the carrier.
